Wairua Digital Terms of Service

You may need to provide personal information, such as your name, email, and billing details, to access certain features or initiate a project. You agree to provide accurate and up-to-date information and to safeguard your account credentials.

2.2 Authorized Users

If acting on behalf of an organization, you confirm you have the necessary authority to engage with Wairua Digital and access services on their behalf.


3. Payment Terms

3.1 Pricing

Pricing for services is based on project scope and deliverables, as agreed during consultation. All fees are quoted in New Zealand Dollars (NZD) and are non-refundable unless otherwise stated.

3.2 Payment Methods

Wairua Digital may accept payments via bank transfer, credit card, or other methods specified in your agreement.

3.3 Invoices

Invoices are issued based on project milestones or completion, with payment terms typically set to 7-14 days unless otherwise agreed.


4. Intellectual Property

4.1 Ownership of Work

Clients retain ownership of completed projects and deliverables, unless otherwise specified. Wairua Digital retains ownership of any reusable code, design frameworks, or assets created during the project but not explicitly transferred.

4.2 Use of Work

Wairua Digital reserves the right to showcase completed projects in its portfolio unless a client requests otherwise in writing.


5. Privacy and Data

5.1 Privacy Policy

Wairua Digital handles personal information according to its Privacy Policy. Clients are responsible for ensuring any content or data provided complies with applicable laws.

5.2 Data Ownership

Clients retain full ownership of the content and data provided for their projects. Wairua Digital will not use or disclose client data beyond the agreed project scope.


6. Prohibited Uses

You agree not to:

  • Use the Service for unlawful purposes.
  • Distribute malicious software or code.
  • Violate intellectual property rights of Wairua Digital or third parties.
  • Engage in activities that harm the integrity or reputation of Wairua Digital.

7. Service Modifications

Wairua Digital reserves the right to modify its Service at any time, including discontinuing features or tools. Clients will be notified of any significant changes that impact ongoing projects.


8. Termination

8.1 Client Termination

Clients may terminate their agreement with Wairua Digital at any time before project completion. Payments for completed milestones or deliverables are non-refundable.

8.2 Wairua Digital Termination

Wairua Digital may terminate agreements or services for reasons such as non-payment, breach of these Terms, or conduct that adversely affects its operations.


9. Limitation of Liability

To the fullest extent permitted by law:

  • Wairua Digital is not liable for indirect, incidental, or consequential damages resulting from the use of its services.
  • Liability for direct damages is limited to the amount paid for the specific service or project.

10. Disputes

10.1 Good Faith Negotiations

In the event of a dispute, both parties agree to attempt resolution through good faith negotiations before pursuing legal action.

10.2 Governing Law

These Terms are governed by the laws of Aotearoa/New Zealand.


11. Changes to Terms

Wairua Digital may update these Terms from time to time. Continued use of the Service indicates acceptance of the revised Terms.
